Upgrading Sophos Enterprise Console version 5.2.2 to the current stable version ?

for the SEC upgrade and its effect on the endpoints please see the recent Upgrade 5.3.0 to 5.5.0 thread (guess you have already consulted the Enterprise Console upgrade guide).
As you say the old Windows Server 2008 R2 - do you also intend to migrate to a new server? There's more than one way to skin a cat. Would probably only confuse you if I'd enumerate them all with their pros and cons. Maybe you should read the Enterprise Console server to server migration guide, you'll likely have some questions or would like to deviate from the documented procedure - feel free to ask.

So if I deploy new Windows Server 2012 R2 and migrate the Sophos Enterprise Console to the latest edition, would that be possible or it is better off delete the VM and then deploy the VM with the same name, & IP address?

the devil is in the details. Same name (same IP isn't a requirement) saves the "redirection" of he endpoints.
It'd be both your first upgrade and first migration? As SEC 5.5.0 is supported on 2008 R2 I'd suggest (but this is my personal opinion only) that you do the upgrade first. Before planning the server to server migration (to a new VM) you should perhaps fish around here, there's a number of "migration" threads and you'll get a better idea of the task.
